3. Infrastructure Ownership

All sending domains, mailboxes, IP addresses, and related technical assets remain the exclusive property of Modern Inbound unless transferred under a signed, paid transfer agreement. Clients do not acquire ownership rights to any technical infrastructure used in campaign delivery.

4. Payment Terms

Fees are due monthly in advance. Services will be suspended at day 14 of non-payment and terminated at day 30. Either party may terminate the agreement with 7 days' written notice.

• Monthly retainer fees are due on the first of each month
• Pay-per-lead fees are invoiced monthly in arrears
• Late payment may result in service suspension
• Refunds are not provided for completed work

5. Client Responsibilities

Clients are responsible for:

• Providing accurate and legal content for campaigns
• Ensuring compliance with applicable anti-spam laws
• Obtaining necessary permissions for contact data
• Responding promptly to compliance requests
• Maintaining current payment information

6. Service Limitations

We do not guarantee specific results, response rates, or lead quality. Campaign performance depends on multiple factors including market conditions, message quality, and target audience receptivity.

7. Liability Limitations

Provider's total aggregate liability is capped at the fees paid in the last one (1) month preceding the event, or INR 50,000, whichever is lower. We are not liable for indirect, consequential, or punitive damages.

8. Termination

Either party may terminate this agreement with 7 days' written notice. Upon termination, all outstanding fees become immediately due, and access to services will be discontinued.

9. Intellectual Property

Modern Inbound retains all rights to our methodologies, processes, and proprietary systems. Clients retain ownership of their provided content and data.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This obligation survives termination of the agreement.

11. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or third-party platform outages.
