Terms of Service
1. Introduction
These Terms of Service govern the relationship between you and Modern Inbound, providing global outbound cold email lead generation services. By engaging our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
2. Service Description
Modern Inbound provides its services in two fixed-fee steps: a Message-Market Fit Test of the client's offer, lasting at most 90 days, and, only if the client chooses it afterwards, a handover of the System. The work covers campaign strategy, email copywriting, list building, campaign execution, delivery of positive replies, a written verdict on the offer and, where taken, the handover.
We use sales engagement tools and other third-party platforms to deliver campaigns. Service availability and features may vary based on third-party platform capabilities and restrictions.
3. Infrastructure Ownership
The Message-Market Fit Test runs on mailboxes and domains that the client buys in its own name and at its own cost, paid to the provider. They are the client's property from purchase. Modern Inbound's tools, lists, copy and methods remain Modern Inbound's property unless transferred by the System agreement. If the client takes the System or the monthly continuation, the mailboxes and domains continue in the client's name and no transfer is needed. The campaigns, ideal customer profile, data sources and build details are not part of the Message-Market Fit Test and are shared only if the client buys the System or the monthly continuation. If the client takes the System, Modern Inbound also provides the campaigns, the ideal customer profile, the data sources and a written account of how the system is built, the campaign copy and the results of each variation tested, the account map, walkthrough recordings and a written operating guide, which are the client's property from handover, and the client pays the providers directly. After the handover, Modern Inbound has no further obligations unless agreed in writing.
4. Payment Terms
The Message-Market Fit Test fee is ₹1,99,000 plus GST ($2,499 for clients billed in US dollars), or the higher fee under the guarantee option described below,, paid in full before the test starts. Separately, the client buys the mailboxes and domains for the test in its own name and at its own cost, paid to the provider (currently about USD 99 a month for 30 mailboxes and USD 130 for domains). Modern Inbound does not charge for them, and they are not refundable by Modern Inbound. The System fee is set out in the written proposal, invoiced only if the client chooses to take the System after the test, and paid in full before the handover begins. Time with Rishabh Ambasta for training, calls or setup is available on request at ₹50,000 plus GST ($600) per hour, agreed in writing in advance. After a Message-Market Fit Test, instead of taking the System, the client may keep Modern Inbound running outreach for the monthly fee set out in the written proposal, invoiced monthly in advance; either party may end it with notice given before the next month begins. No fee is refundable once work has begun, except the refund under the guarantee option.
5. Client Responsibilities
Clients are responsible for:
- Providing accurate and legal content for campaigns
- Ensuring compliance with applicable anti-spam laws
- Obtaining necessary permissions for contact data
- Responding promptly to compliance requests
- Maintaining current payment information
6. Service Limitations
We do not guarantee meetings, sales, or revenue. Campaign performance depends on multiple factors including market conditions, message quality, and target audience receptivity.
The Message-Market Fit Test runs from mailboxes and domains bought in the client's own name, without the client's brand and without copy approvals from the client. It ends when the number of positive replies included for the client's market has been delivered: twenty where the campaign targets India, ten where it targets markets outside India or India together with other markets, and five where it targets the United States only, with the market recorded in the written proposal; or 90 days after the first campaign email, whichever comes first, and sending for the client's offer then stops. The first campaign email is sent after a warm-up period of about fourteen days, which does not count towards the 90 days. Positive replies are delivered as introductions from Modern Inbound, followed by a written verdict on the offer, which is Modern Inbound's professional opinion. Unless the client chooses the guarantee option described in this paragraph, the Message-Market Fit Test carries no guarantee of any number of positive replies, and no refund applies if fewer than the included number are delivered. Guarantee option: if the client chooses it in the written proposal, the Message-Market Fit Test fee is ₹3,99,000 plus GST ($4,999 for clients billed in US dollars). If fewer than the included number of positive replies for the client's market has been delivered when the test ends, Modern Inbound refunds part of ₹3,00,000 ($3,750). The part is the number of positive replies missing divided by the included number. For example, if half are missing, half is refunded. The refund is paid within fourteen days after the test ends. If the included number is delivered, nothing is refunded. The mailboxes and domains are paid to the provider and are not refunded by Modern Inbound. Engagements signed before 30 September 2026 keep the terms of their signed Service Agreement, including any positive reply guarantee it states.
7. Liability Limitations
Provider's total aggregate liability is capped at the fees paid for the engagement concerned, excluding GST. We are not liable for indirect, consequential, or punitive damages.
8. Termination
There is no termination for convenience during the Message-Market Fit Test. Either party may terminate immediately for material breach, including non-payment or non-compliance with anti-spam laws. Upon termination, all outstanding fees become immediately due, and access to services will be discontinued.
9. Intellectual Property
Modern Inbound retains all rights to our methodologies, processes, and proprietary systems. Clients retain ownership of their provided content and data.
10. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This obligation survives termination of the agreement.
11. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or third-party platform outages.
12. Governing Law
These Terms are governed by Indian law. Disputes will be resolved through arbitration in Pune, Maharashtra, India, under the Arbitration and Conciliation Act, 1996 (as amended).
13. Modifications
We may modify these Terms with 30 days' notice. Continued use of services after modifications constitutes acceptance of the updated Terms.
14. No Reliance / No Oral Modifications
This Agreement and the documents referenced herein constitute the entire understanding between the parties. No oral or informal communications shall create any binding obligations. Any modification must be in writing and signed by both parties.

This Master Service Agreement governs the provision of outbound cold email lead generation services by Modern Inbound. This Agreement is designed to protect our business interests while establishing clear expectations for service delivery.
2. Service Scope
The Message-Market Fit Test covers one agreed offer and one target market of at least 50,000 accounts, run from 30 mailboxes and their domains, bought in the client's own name. List building, copy, testing of 100+ messaging angles and verification work sit inside the Message-Market Fit Test fee.
The Message-Market Fit Test runs on mailboxes and domains that the client buys in its own name and at its own cost, paid to the provider. They are the client's property from purchase. Modern Inbound's tools, lists, copy and methods remain Modern Inbound's property unless transferred by the System agreement. If the client takes the System or the monthly continuation, the mailboxes and domains continue in the client's name and no transfer is needed. 8. Termination Rights
There is no termination for convenience during the Message-Market Fit Test. Modern Inbound reserves the right to immediately terminate services for non-compliance with anti-spam laws, non-payment, or material breach of this Agreement. Upon termination, all outstanding fees become immediately due.
9. Dispute Resolution
All disputes will be resolved through binding arbitration in Pune, Maharashtra, India, under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration will be conducted in English.
10. Governing Law
This Agreement is governed by the laws of India. Any legal proceedings must be conducted in Pune, Maharashtra, India.
11. No Reliance / No Oral Modifications
This Agreement and the documents referenced herein constitute the entire understanding between the parties. No oral or informal communications shall create any binding obligations. Any modification must be in writing and signed by both parties.

5. Enforcement
Violations of this policy may result in immediate service suspension or termination. Modern Inbound reserves the right to review all campaign content and reject non-compliant materials.

Clients are solely responsible for ensuring their campaigns comply with all applicable laws and regulations. Modern Inbound's liability is limited as specified in our Terms of Service and MSA.
